Welcome to the Chillgoza Affiliate Partner Program operated by Flowers Fashion And Lifestyle (“Company”, “we”, “our”, or “us”), owner and operator of Chillgoza.com.

These Affiliate Terms & Conditions (“Terms”) govern participation in the Chillgoza Affiliate Partner Program (“Program”). By registering, applying, accessing, or participating in the Program, you (“Affiliate Partner”, “Affiliate”, “you”, or “your”) agree to be legally bound by these Terms, our Privacy Policy, Commission Policy, and all related policies published on the website.

If you do not agree with these Terms, you must not participate in the Program.

1. Company Details

2. Eligibility

To participate in the Program, you must:

  • Be at least 18 years of age;
  • Be legally capable of entering into a binding contract under applicable Indian law;
  • Provide accurate, complete, and updated information during registration;
  • Maintain valid payment details for commission payouts;
  • Comply with all applicable laws, regulations, platform policies, and advertising guidelines.

The Company reserves the right to approve, reject, suspend, or terminate any application or account at its sole discretion without assigning any reason.

3. Independent Contractor Relationship

Affiliate Partners act solely as independent marketing partners.

Nothing contained in these Terms shall be construed to create any:

  • employment relationship,
  • agency,
  • partnership,
  • franchise,
  • joint venture,
  • employer-employee relationship,
  • fiduciary relationship,
    between the Company and the Affiliate.

Affiliate Partners are not employees of the Company and shall not be entitled to any employee benefits, compensation protections, insurance, gratuity, bonus, provident fund, reimbursement, or statutory employment benefits.

4. Affiliate Account Registration

During registration, Affiliates may be required to provide:

  • full name,
  • email address,
  • mobile number,
  • social media or promotional links,
  • bank account details,
  • PAN details,
  • GST details (if applicable),
  • additional verification information.

The Affiliate confirms that all submitted information is true, accurate, and complete.

Providing false, misleading, forged, incomplete, or fraudulent information may result in:

  • rejection,
  • immediate suspension,
  • withholding of commissions,
  • permanent termination,
  • legal action where applicable.

5. Promo Codes & Tracking

Approved Affiliates may receive:

  • unique promo codes,
  • referral links,
  • tracking identifiers,
  • promotional access.

The Company shall determine all tracking methods, attribution logic, validation rules, and commission calculations at its sole discretion.

The Company shall not be liable for:

  • tracking failures,
  • browser restrictions,
  • ad blockers,
  • technical interruptions,
  • attribution mismatches,
  • lost commissions caused by external systems or user actions.

All tracking and reporting decisions made by the Company shall be final and binding.

6. Commission Structure

Affiliate commissions may be calculated based on:

  • successful referred purchases,
  • approved promotional campaigns,
  • verified eligible transactions,
  • other criteria determined by the Company.

Commission rates, structures, payout schedules, and eligibility criteria may be modified, revised, suspended, or discontinued at any time without prior notice.

Unless otherwise stated:

  • commissions are earned only on successfully completed and verified orders;
  • cancelled, refunded, exchanged, fraudulent, disputed, returned, self-purchased, or invalid transactions are not eligible for commission;
  • commissions may be adjusted, reversed, or withheld in case of refunds, fraud detection, abuse, chargebacks, policy violations, or suspicious activity.

The Company’s calculation of commissions shall be final and binding.

7. Payout Policy

Commission payouts may be processed:

  • monthly,
  • periodically,
  • or according to the payout schedule determined by the Company.

Payouts may be subject to:

  • identity verification,
  • PAN verification,
  • fraud review,
  • tax compliance,
  • account approval,
  • minimum payout thresholds,
  • payment gateway limitations.

The Company reserves the right to:

  • delay payouts,
  • hold payouts,
  • investigate accounts,
  • reverse commissions,
  • suspend transfers,
    where suspicious or non-compliant activity is detected.

The Company shall not be responsible for:

  • incorrect bank details,
  • failed bank transfers,
  • payment delays caused by banks or payment providers,
  • inactive accounts,
  • UPI failures,
  • government restrictions,
  • technical interruptions.

8. Taxation, PAN & GST

Affiliate Partners shall be solely responsible for:

  • income tax,
  • GST,
  • tax filings,
  • statutory registrations,
  • invoicing obligations,
  • and all other applicable tax liabilities arising from commissions earned under the Program.

PAN information may be collected for:

  • identity verification,
  • payout processing,
  • TDS compliance,
  • applicable tax reporting requirements.

Where applicable, tax may be deducted at source (TDS) in accordance with Indian law.

If an Affiliate is GST-registered:

  • the Affiliate shall provide accurate GST details;
  • the Affiliate shall remain solely responsible for GST compliance, invoicing, return filing, and statutory obligations.

The Company shall not be responsible for:

  • incorrect GST details,
  • invalid PAN information,
  • tax penalties,
  • non-filing,
  • interest,
  • notices,
  • or regulatory actions against the Affiliate.

9. Prohibited Activities

Affiliate Partners shall NOT:

  • place fake or fraudulent orders;
  • perform self-purchases for commission abuse;
  • encourage artificial transactions;
  • use misleading advertisements or false claims;
  • impersonate the Company;
  • claim employment or ownership rights in the Company;
  • misuse trademarks, logos, or branding;
  • publish defamatory, illegal, hateful, obscene, or infringing content;
  • engage in spam marketing;
  • perform unauthorized paid advertising using Company brand names;
  • manipulate tracking systems;
  • exploit technical loopholes;
  • use bots, fake traffic, or automated systems;
  • leak promo codes on unauthorized coupon platforms;
  • violate social media platform policies or applicable law.

Violation of any policy may result in:

  • immediate suspension,
  • commission forfeiture,
  • legal action,
  • permanent termination.

10. Intellectual Property

All trademarks, logos, brand assets, product names, website content, graphics, marketing material, and intellectual property related to Chillgoza.com remain the exclusive property of the Company.

Affiliates receive only a limited, revocable, non-exclusive permission to use approved promotional materials solely for participation in the Program.

No ownership rights are transferred to Affiliates.

11. Social Media & Advertising Compliance

Affiliate Partners are solely responsible for ensuring that their content, advertisements, promotions, videos, reels, shorts, reviews, and endorsements comply with:

  • applicable laws,
  • ASCI influencer guidelines,
  • platform rules,
  • advertising standards,
  • intellectual property laws,
  • consumer protection laws.

The Company shall not be responsible for Affiliate-created content.

12. Suspension & Termination

The Company reserves the unrestricted right to:

  • reject applications,
  • suspend accounts,
  • terminate participation,
  • disable promo codes,
  • withhold commissions,
  • remove access,
    at any time and without prior notice.

Termination may occur due to:

  • fraud,
  • policy violations,
  • suspicious activity,
  • misuse,
  • reputational risk,
  • legal complaints,
  • inactivity,
  • tax compliance concerns,
  • or any reason determined by the Company.

Upon termination:

  • all promotional rights immediately cease;
  • unpaid commissions may be forfeited;
  • access to the Program may be revoked permanently.

13. Limitation of Liability

To the maximum extent permitted under applicable law, the Company shall not be liable for:

  • indirect damages,
  • loss of revenue,
  • loss of profits,
  • business interruption,
  • reputational loss,
  • technical failures,
  • data loss,
  • tracking inaccuracies,
  • third-party platform actions,
  • payment delays,
  • or consequential damages.

The Company’s maximum aggregate liability under the Program shall not exceed the unpaid approved commission amount, if any, due to the Affiliate.

14. Indemnity

Affiliate Partners agree to indemnify, defend, and hold harmless the Company, its owners, employees, representatives, and affiliates from any:

  • claims,
  • losses,
  • liabilities,
  • damages,
  • penalties,
  • costs,
  • legal expenses,
    arising out of:
  • Affiliate actions,
  • policy violations,
  • unlawful promotions,
  • tax non-compliance,
  • intellectual property violations,
  • misleading claims,
  • or breach of these Terms.

15. Digital Acceptance & Electronic Records

The Affiliate acknowledges and agrees that:

  • electronic acceptance,
  • checkbox consent,
  • digital submissions,
  • IP logs,
  • timestamps,
  • browser/device logs,
  • electronic records,
    shall constitute valid and legally enforceable consent under the Information Technology Act, 2000 and applicable Indian laws.

The Company may maintain digital compliance records for audit, verification, security, legal, operational, and regulatory purposes.

16. Privacy & Data Usage

Affiliate information may be collected, processed, stored, and used for:

  • account management,
  • commission processing,
  • fraud prevention,
  • tax compliance,
  • verification,
  • support,
  • analytics,
  • legal compliance,
  • and operational purposes.

17. Modifications to the Program

The Company reserves the right to:

  • modify these Terms,
  • revise commission structures,
  • update policies,
  • suspend features,
  • discontinue the Program,
    at any time without prior notice.

Continued participation after updates constitutes acceptance of revised Terms.

18. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

All disputes arising out of or relating to the Program shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India.

19. Dispute Resolution

In the event of any dispute, controversy, or claim:

  • the parties shall first attempt amicable resolution;
  • failing resolution, disputes may be referred to arbitration in Delhi, India;
  • proceedings shall be conducted in English;
  • the decision of the arbitrator shall be final and binding.

21. Acceptance

By registering for or participating in the Chillgoza Affiliate Partner Program, the Affiliate confirms that:

  • they have read these Terms carefully;

  • they agree to be legally bound by these Terms and related policies.
