Affiliate Commission Policy

This Affiliate Commission Policy (“Commission Policy”) governs commission calculation, tracking, approval, adjustment, withholding, and payout procedures for participants of the Chillgoza Affiliate Partner Program (“Program”) operated by Flowers Fashion And Lifestyle (“Company”, “we”, “our”, or “us”), owner and operator of Chillgoza.com.
This Commission Policy forms an integral part of the Affiliate Terms & Conditions and applies to all Affiliate Partners participating in the Program.
By participating in the Program, the Affiliate Partner (“Affiliate”, “you”, or “your”) agrees to be legally bound by this Commission Policy.
1. Nature of the Program
The Program is a performance-based promotional and referral program under which eligible Affiliates may earn commissions for valid referred purchases made through approved referral methods such as:
- promo codes,
- referral links,
- tracked campaigns,
- approved content promotions,
- or other tracking mechanisms determined by the Company.
Participation in the Program does not guarantee earnings, payouts, or continuous commission eligibility.
2. Commission Eligibility
Affiliate commissions may become eligible only when all applicable conditions are satisfied, including but not limited to:
- successful order placement;
- successful payment collection;
- order verification;
- successful delivery confirmation;
- fraud screening approval;
- return/refund validation period completion;
- compliance review;
- policy compliance verification.
The Company reserves the right to determine whether a transaction qualifies as commission-eligible.
All commission decisions made by the Company shall be final and binding.
3. Commission Structure
The Company may offer:
- percentage-based commissions;
- fixed commissions;
- campaign-based incentives;
- bonus commissions;
- limited-time promotional rates;
- category-specific commissions;
- creator-specific commission structures.
Commission rates may vary depending on:
- products,
- campaigns,
- order value,
- promotional category,
- affiliate performance,
- customer type,
- marketing channel,
- or other operational factors.
The Company reserves the unrestricted right to:
- modify commission rates,
- change payout structures,
- discontinue campaigns,
- revise incentives,
- or introduce new rules
at any time without prior notice.
4. Valid Commission Transactions
Commissions are generally considered valid only for:
- successfully completed orders;
- verified transactions;
- eligible customer purchases;
- approved referral attributions.
The Company may require internal verification before approving commissions.
Commission eligibility shall be determined solely through the Company’s internal systems, logs, and tracking records.
5. Non-Eligible Transactions
No commission shall be payable for:
- cancelled orders;
- refunded orders;
- returned products;
- exchanged orders;
- payment failures;
- COD rejections;
- duplicate orders;
- fake transactions;
- suspicious purchases;
- self-purchases;
- family/friend abuse;
- reseller abuse;
- fraudulent activity;
- bulk abuse;
- internal test orders;
- policy-violating transactions;
- unauthorized coupon distribution;
- spam-generated traffic;
- bot traffic;
- invalid referrals;
- manipulated orders;
- disputed transactions;
- chargebacks.
The Company reserves the right to reverse or remove commissions at any time where transactions later become invalid or suspicious.
6. Self-Purchase & Abuse Restrictions
Affiliates are strictly prohibited from:
- purchasing products using their own affiliate code for commission generation;
- creating artificial transactions;
- encouraging fake purchases;
- exploiting loopholes;
- using misleading promotional tactics;
- manipulating attribution systems.
Any such activity may result in:
- immediate account suspension;
- commission cancellation;
- payout withholding;
- permanent ban;
- legal action where applicable.
The Company’s fraud review decision shall be final.
7. Tracking & Attribution
The Program may use:
- promo codes,
- referral cookies,
- tracking links,
- conversion attribution systems,
- internal analytics,
- and automated validation systems.
The Company does not guarantee uninterrupted or error-free tracking.
The Company shall not be liable for:
- browser restrictions,
- deleted cookies,
- ad blockers,
- device switching,
- attribution conflicts,
- technical failures,
- platform outages,
- or third-party tracking limitations.
Where multiple attribution methods exist, the Company reserves the sole right to determine final commission attribution.
8. Commission Approval Timeline
Commissions may remain under:
- pending status,
- verification review,
- fraud screening,
- refund validation,
- compliance checks,
before becoming approved for payout.
Approval timelines may vary depending on:
- order lifecycle,
- payment confirmation,
- return periods,
- operational reviews,
- fraud investigations,
- and internal accounting processes.
The Company reserves the right to extend review timelines where necessary.
9. Payout Schedule
Approved commissions may be paid:
- monthly,
- periodically,
- or according to payout cycles determined by the Company.
Payout processing may depend on:
- minimum payout threshold;
- successful verification;
- PAN availability;
- account status;
- fraud review clearance;
- tax compliance;
- payment gateway availability.
The Company reserves the right to:
- delay,
- hold,
- suspend,
- offset,
- or reverse payouts
where necessary for operational, legal, security, fraud prevention, or compliance purposes.
10. Minimum Payout Threshold
The Company may apply minimum payout thresholds before commissions become eligible for transfer.
Thresholds may vary:
- by campaign,
- affiliate category,
- payout method,
- geography,
- or operational requirements.
The Company may revise payout thresholds at any time.
11. Payment Methods
Commission payouts may be processed through:
- bank transfer,
- UPI,
- payment gateway,
- or other approved payment systems.
Affiliates are solely responsible for:
- maintaining accurate bank details;
- ensuring account accessibility;
- updating payout information promptly.
The Company shall not be liable for failed or delayed payouts caused by:
- incorrect information;
- inactive accounts;
- banking restrictions;
- payment provider issues;
- technical failures;
- government actions.
12. PAN, TDS & Tax Compliance
Affiliate commissions may be subject to:
- applicable tax deduction at source (TDS);
- statutory reporting requirements;
- verification procedures;
- compliance reviews.
PAN details may be required for:
- payout processing;
- tax reporting;
- TDS compliance;
- identity verification.
Affiliates remain solely responsible for:
- income tax filings;
- GST obligations;
- invoicing obligations;
- statutory registrations;
- tax liabilities arising from commission earnings.
The Company shall not be responsible for:
- affiliate tax defaults;
- penalties;
- interest;
- incorrect tax filings;
- invalid PAN/GST details.
13. GST Policy
Where an Affiliate voluntarily provides GST registration details:
- the Affiliate remains solely responsible for GST compliance;
- the Affiliate shall ensure the accuracy and validity of GST information;
- the Affiliate may be required to provide valid invoices where applicable.
The Company reserves the right to reject invalid or unverifiable GST details.
14. Refunds, Returns & Adjustments
If a customer order is:
- refunded,
- returned,
- cancelled,
- exchanged,
- reversed,
- disputed,
- charged back,
the associated commission may: - become invalid;
- be reversed;
- be deducted from future payouts;
- or remain unpaid.
Commission adjustments may occur even after provisional approval.
15. Fraud Monitoring & Investigations
The Company reserves the unrestricted right to:
- monitor affiliate behavior;
- review referral patterns;
- investigate suspicious activity;
- conduct internal audits;
- freeze accounts during investigations.
The Company may withhold commissions where:
- fraud is suspected;
- policy violations occur;
- artificial traffic is detected;
- transactions appear abnormal.
Fraud investigation decisions made by the Company shall be final and binding.
16. Account Suspension & Commission Forfeiture
The Company reserves the right to:
- suspend affiliate accounts;
- terminate participation;
- permanently disable promo codes;
- cancel pending commissions;
- forfeit unpaid balances;
without prior notice where: - policy violations occur;
- suspicious activity is detected;
- fraudulent behavior is identified;
- reputational risk arises;
- compliance concerns exist.
17. No Guaranteed Earnings
The Company does not guarantee:
- sales volume;
- customer conversions;
- minimum earnings;
- traffic levels;
- payout frequency;
- continued availability of the Program.
Affiliate earnings depend entirely upon:
- promotional effectiveness;
- customer activity;
- eligible transactions;
- and operational validation.
18. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- loss of revenue;
- loss of expected commissions;
- tracking inaccuracies;
- technical failures;
- payment delays;
- affiliate marketing performance;
- indirect or consequential damages.
The Company’s maximum liability shall not exceed the unpaid approved commission amount, if any.
19. Modification of Commission Policy
The Company reserves the unrestricted right to:
- revise commission rates;
- modify payout structures;
- introduce new rules;
- change eligibility requirements;
- discontinue promotions;
- or update this Commission Policy
at any time without prior notice.
Continued participation in the Program constitutes acceptance of updated policies.
20. Governing Law & Jurisdiction
This Commission Policy shall be governed by the laws of India.
All disputes relating to commissions, payouts, or affiliate participation shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India.
